Welcome to Context Magnet ("Service", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of our website, products, and services. By accessing or using Context Magnet, you agree to be bound by these Terms.

1. Overview of the Service

Context Magnet is a software-as-a-service (SaaS) platform that provides:

  • AI-powered web assistant trained on your website content and documents
  • Website crawling and indexing to build a knowledge base from your domain
  • Document upload and processing (PDF, DOCX, TXT) to extend the knowledge base
  • Embeddable chat widget for your website visitors
  • Lead capture functionality to collect visitor inquiries
  • Conversation analytics to track and improve customer interactions
  • Multi-language support for international visitors

2. Merchant of Record

Paddle.com Market Limited (for customers outside the United States) or Paddle.com Inc (for customers in the United States) acts as our Merchant of Record for all payment transactions. This means:

  • Paddle processes all payments on our behalf
  • Paddle handles tax collection and compliance globally
  • Paddle issues invoices and receipts for your purchases
  • Your payment relationship is directly with Paddle

By purchasing a subscription, you also agree to Paddle's Checkout Buyer Terms.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Service. By registering, you represent that you meet these requirements.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4. Subscriptions and Billing

4.1 Subscription Plans

We offer subscription plans that include:

  • A set number of domains (websites) you can connect
  • Monthly message limits for AI conversations
  • Document (knowledge source - single web page or file) storage limits
  • Manual domain (website) recrawl limit
  • Manual document recrawl limit
  • Team members limit
  • Access to all features within your plan tier

4.2 Billing Cycle

  • Subscriptions are billed monthly in advance
  • Your subscription automatically renews at the end of each billing period
  • Paddle will charge your chosen payment method on the renewal date

4.3 Price Changes

We reserve the right to change subscription prices. Any price changes will:

  • Be communicated to you in advance
  • Take effect at the start of your next billing cycle
  • Not apply retroactively

4.4 Capacity Packs

You may purchase additional capacity packs to increase your limits. Each pack adds:

  • Support for 1 additional website
  • Additional monthly messages
  • Additional document storage
  • Additional manual domain (website) recrawls
  • Additional manual document recrawls
  • Additional team members

Capacity packs are pooled together and can be used across multiple sites or concentrated on a single site.

4.5 Account Upgrades and Duplicate Subscriptions

All modifications to your existing subscription, including the increase or decrease of Capacity Packs, must be initiated from within your authenticated account dashboard. Because our payment processing (via Paddle) precedes account authentication, purchasing a new subscription from our public website using an email address already associated with an active Context Magnet account is prohibited. Our authentication system will not provision a new account or automatically merge the new purchase with an existing account under a duplicate email address.

If you execute a duplicate purchase while unauthenticated, the transaction will be processed by Paddle, but the associated capacity limits will not be applied to your existing account. In such instances, you must contact our support team immediately. We reserve the right, at our sole discretion, to either (a) manually allocate the purchased capacity to your existing account, or (b) issue a refund for the duplicate transaction. We accept no liability for service interruptions, data loss, or failure to apply capacity limits resulting from the circumvention of the dashboard upgrade process.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting our support. Upon cancellation:

  • Your subscription remains active until the end of the current billing period
  • You retain access to all features until that date
  • No further charges will be made

5.2 Refund Policy

Please see our separate Refund Policy for detailed information about refunds. In summary:

  • 14-day money-back guarantee for new subscribers
  • Refunds are processed through Paddle
  • Pro-rated refunds may be available in certain circumstances

5.3 Paddle's Role in Refunds

As our Merchant of Record, Paddle handles all refund processing. Refund requests should be directed to our support team, who will coordinate with Paddle.

6. Acceptable Use

6.1 Permitted Use

You may use Context Magnet to:

  • Build AI assistants trained on website content (including third-party content), provided that you represent and warrant that you have obtained all necessary rights, licenses, consents, and authorizations to access, use, and process such content, and that such use complies with all applicable laws. Where you act on behalf of a third party (including your clients), you further represent and warrant that you are duly authorized to act on their behalf. You acknowledge that you are solely responsible for the content used with the Service, and that we do not monitor, verify, or assume any obligation to review your rights to such content.
  • Engage with your website visitors through the chat widget
  • Capture leads and customer inquiries
  • Analyze conversation data to improve your business

6.2 Prohibited Use

You agree NOT to:

  • Use the Service for any illegal purpose
  • Upload malicious content, malware, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Scrape, crawl, or index websites or content without having sufficient rights or authorization to do so
  • Use the AI to generate harmful, misleading, or illegal content
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Harass, abuse, or harm others through the Service
  • Use the Service to send spam or unsolicited communications

6.3 Content Responsibility

You are solely responsible for:

  • The websites and documents you connect to the Service
  • Verifying that you have all necessary rights and permissions to use such content
  • The accuracy, legality, and appropriateness of content processed by the Service
  • The accuracy of information provided by your AI assistant
  • Compliance with all applicable laws and third-party rights

6.4 Authorized Multi-Site Management (Agency Use)

A. Multi-Site Deployment Rights: Service Providers are explicitly permitted to deploy the AI widget and use Capacity Packs on behalf of their third-party clients ("End-Clients").

B. Relationship of Parties: The Service Provider remains the sole "Account Owner." We do not maintain a direct contractual or support relationship with the End-Client. The Service Provider is responsible for all End-Client configurations and billing.

C. Support Obligations: Technical support is provided exclusively to the Service Provider (Tier 2 Support). The Service Provider agrees to act as the primary point of contact for their End-Clients (Tier 1 Support).

D. Compliance and Data Authorization: When deploying the Service on an End-Client's domain, the Service Provider represents and warrants that they have the legal authority to index the End-Client's website and that the End-Client's privacy policy correctly discloses the use of this AI processing.

7. Intellectual Property

7.1 Our Intellectual Property

Context Magnet, including its software, design, logos, and documentation, is owned by us and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

7.2 Your Content

You retain ownership of:

  • Content from your websites that you connect to the Service
  • Documents you upload to the platform
  • Data generated from your visitor interactions

You grant us a worldwide, non-exclusive, royalty-free license to access, use, process, reproduce, and display such content solely for the purpose of operating, improving, and providing the Service.

7.3 AI-Generated Responses

Responses generated by the AI assistant are automated and may be inaccurate, incomplete, or misleading. You are solely responsible for reviewing, validating, and using such outputs, and for any decisions or actions taken based on them.

8. Data and Privacy

8.1 Data Processing

We process data in accordance with our Privacy Policy. This includes:

  • Your account information
  • Website content you connect to the Service
  • Documents you upload
  • Conversation logs from your chat widget
  • Lead information captured through the widget

8.2 Data Sharing with Paddle

For payment processing, we share necessary information with Paddle as our Merchant of Record. This includes:

  • Billing contact information
  • Transaction details
  • Tax-relevant information

Paddle processes this data according to their Privacy Policy.

8.3 Data Retention

We retain your data while your account is active. Upon account deletion:

  • Your personal data will be deleted within 30 days
  • Anonymized usage data may be retained for analytics

9. Service Availability

9.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency maintenance
  • Factors beyond our control

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for significant changes.

10. Limitation of Liability

10.1 Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

10.3 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Context Magnet, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or third-party rights
  • Any content you provide, upload, process, or make available through the Service

12. Termination

12.1 By You

You may terminate your account at any time by canceling your subscription and requesting account deletion.

12.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activity
  • Abuse the Service or other users

12.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • Your data will be handled according to our data retention policy
  • Outstanding fees remain due

13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal dispute, you agree to contact us to attempt informal resolution.

13.2 Governing Law

These Terms are governed by the laws of the jurisdiction where our company is registered, without regard to conflict of law principles.

13.3 Consumer Rights

If you are a consumer in the European Union or other jurisdiction with consumer protection laws, nothing in these Terms affects your statutory rights.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Context Magnet.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

14.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver.

14.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations freely.

14.5 Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance.
